General Terms and Conditions (T&C)

ELIATECH e.U. – Electrical Engineering & Electrical Installations

1. Scope of Application

These General Terms and Conditions apply to all deliveries, services, offers and contracts of ELIATECH e.U., hereinafter referred to as the “Contractor”.

They apply to both entrepreneurs and consumers. Deviating terms and conditions of the client shall only be recognized if they have been expressly confirmed in writing.

2. Offers and Conclusion of Contract

Our offers are generally subject to change and non-binding unless they are expressly designated as binding.

A contract shall only come into effect through:

• written order confirmation
• signing of the offer by the client
• commencement of the work.

Technical changes that serve technical progress or represent minor deviations remain reserved.

3. Scope of Services

The scope of services is determined by the respective offer, specification or order confirmation.

Services not explicitly listed, especially:

• additional work
• changes to the planning
• adjustments to existing installations
• subsequent customer requests

shall be charged separately based on the actual effort.

Work on existing electrical installations is carried out under the condition that the condition of the existing installation allows safe execution.

4. Prices

All prices are stated in Euro and are exempt from VAT / sales tax.

Price calculations are based on:

• material costs
• labor costs
• transport costs
• energy costs

If these costs change significantly between the offer and execution, the contractor is entitled to make an appropriate price adjustment.

Unforeseeable work (e.g. hidden defects in the installation) will be charged according to actual expenses.

5. Payment Terms

Invoices issued by ELIATECH e.U. are payable within 14 days from the invoice date without deduction, unless otherwise agreed.

In the event of late payment, the following apply:

• default interest according to Austrian business law
• reimbursement of reminder and collection costs
• the right to suspend ongoing work until outstanding claims are settled.

6. Retention of Title

All delivered materials, equipment and installations remain the property of ELIATECH e.U. until full payment of all outstanding claims has been received.

Resale is only permitted if the retention of title remains in effect towards third parties.

7. Deadlines and Execution Periods

Delivery and execution dates are generally non-binding unless explicitly agreed in writing as binding.

Delays due to:

• material supply problems
• delays by other trades
• official measures
• force majeure
• changes requested by the client

shall result in a reasonable extension of the execution period.

8. Client Obligations

The client must ensure that:

• the construction site is freely accessible
• necessary permits are available
• electricity, water and the required infrastructure are provided
• other trades do not hinder the work.

Additional costs due to lack of cooperation shall be borne by the client.

9. Technical Execution

All work will be carried out in accordance with the applicable standards and regulations, in particular the technical guidelines of the OVE Österreichischer Verband für Elektrotechnik.

Measurement and inspection protocols will be prepared after completion where required.

10. Warranty

The statutory warranty provisions under Austrian law apply.

The warranty period is:

• 2 years for movable goods
• 3 years for construction-related services, where legally applicable.

The client must report identifiable defects in writing without delay.

The warranty does not cover damages caused by:

• improper use
• interventions by third parties
• defective existing installations
• external influences (e.g. power surges or lightning strikes).

11. Liability

The liability of ELIATECH e.U. is limited to damages caused by intentional misconduct or gross negligence.

Liability for:

• consequential damages
• indirect damages
• loss of profit

is excluded to the extent permitted by law.

12. Acceptance

After completion of the work, the client is obliged to accept the service.

If no written complaint is made within 7 days, the service shall be considered accepted.

13. Cancellation

In the event of cancellation by the client, all services already provided and materials already ordered must be paid in full.

Additionally, reasonable cancellation fees may be charged.

14. Data Protection

Personal data shall be processed exclusively in accordance with the applicable data protection regulations.

15. Jurisdiction and Applicable Law

Austrian law shall apply exclusively.

The place of jurisdiction shall be the competent court at the registered office of ELIATECH e.U., unless mandatory statutory provisions provide otherwise.
